HOA Board meeting minutes and notes from May 19, 2024
Location: 445 Shin Oak Rd
Welcome: President, Bo Carter, called the meeting to order at 2 pm. In attendance were Jackie Schmidt – Vice President, Bo Carter – President and Jennifer Perez – Treasurer was absent. This meeting was open to the community (15 members/2 board members).
Approval of minutes: Bo Carter made the motion to approve the last meeting minutes. Jackie Schmidt second the motion. Were approved and can now be posted.
OPEN ISSUES
Road sign at entrance: Jackie talked to the owner of the first lot and the owner gave Willow Creek Ranches permission to use the existing 4x4s for the sign. Need to get that in writing for the owner. Bo is to talk to the owner for it in writing.
Attorney: No updates have been given to the board on the progress of the fines and fees and other things she was working on.
Cattle Lease: Has been signed by all board members and now needs to be given to the Janssens. Funds from the cattle lease go into the Willow Creek Ranches checking account.
NEW ISSUES
Cattle Guard: Need to get quotes on pulling the cattle guard up and pulling out all the material that has accumulated over the years. Also, quote(s) for expanding the cattle guard.
First lot dug his ditches deep. Everyone is unsure how that will affect drainage.
Road Conditions: Instead of HOA dues (since it is not a legal entity), take donations. $200 per lot is not enough to maintain the community roads on a quarterly basis. The company that was doing the roads refuse to come back because they were not paid in a timely manner. The treasurer did not feel the expense was necessary even though it was already voted on, passed and work had been completed. Multiple community members mentioned that once a payment is voted on and approved, a check should be made out right then and there. If not written out, the treasurer should lose her position by not abiding by the vote(s).
Fines and Fees: MPH handed it over to the residence in 2020 but Willow Creek Ranches never filed the correct paperwork to become legal under their own name. A community member states that enforcing any restrictions have been abandoned after 4 years of noncompliance. Without having every member to vote it in and resign contracts it has no merit. Willow Creek can not be found in state/county documents as a HOA. It has not been recognized as a HOA due to not having a management certificate filed under Willow Creek Ranches.
Bank Statements: Bank withdraws/deposits should be posted for the community to see.
Shutting Down the HOA: To transfer the HOA to a road committee only. The attorney was never informed that restrictions have never been enforced. There are laws in place within the county to enforce certain things (multiple homes, septics, water wells etc). MPH only transferred monies over nothing else (books, meetings, contracts etc). A petition was mentioned in order to remove the declaration and bylaws in the county record and off land owners deeds. For an HOA board, there is a minimum of 3 people. A road committee will be made up of 7 people, in which 2 will be designated to sign checks. It will still be a non-profit.
Questions asked by community members with the answers from the community that were in attendance.
Q: What are yall's thoughts and feelings about dissolving of the HOA?
A: We will never be a high-class HOA. People want their freedom to do what they want with their property.
A: The HOA was told to me that it was only for road maintenance. So just have a road committee and continue like we have.
A: There are laws in places that states what you can and can’t do (trash on properties, burning of illegal things etc). So if the need arises contact the county to enforce.
A: A HOA divides the community. Everyone should be neighbors and friends. Not torn apart by differences.
Q: Is there a way to have a road committee and have something in place to make people pay?
A: The road committee would be on a donation basis only, it will be the same way it is set up now just as a donation, not invoices.
Q: Doing away with an HOA and going to donations, members aren’t forced to pay so it’s not fair to the ones that donate.
A: I agree it’s not fair but the ones that pay now will probably donate. The ones that don’t like paying won't donate, just like we deal with every year in invoicing.
Financial Report: Jennifer was not present at the meeting and did not send over any financial information to present. Balance of $9,437.56 was provided by Jackie by looking at the account.
Collecting Finances: Since the HOA is not a legal entity, invoices can not be mailed out for collection of dues. An alternative to collecting monies is to put out a notice/mailout stating that donations are being accepted to maintain the road(s). Also to put out a monthly newsletter on the website/Facebook stating things that are going on within the community.
Voting to dismiss a board member: After many community members raising concerns on the lack of the treasurer fulfilling duties required by the position, Bo Carter motioned to vote the removal of Jennifer as Treasurer, Steve Wilt seconded it and Daniel Pearn thirded it. Jackie and Bo voted in favor of the motion.
Another meeting was not scheduled.

Location: 445 Shin Oak Rd
Welcome: President, Bo Carter, called the meeting to order at 2 pm. In attendance were Jackie Schmidt – Vice President, Bo Carter – President, Daniel Pearn – Director, Jennifer Perez – Treasurer showed up 30 mins late and Brianna Evans – Secretary was absent. This meeting was open to the community (3 members/3 board members).
Approval of minutes: Bo Carter made the motion to approve the last meeting minutes. Daniel Pearn second the motion. Were approved and can now be posted.
Open Issues:
Fines and fees: A template was made for minimal fines and fees (public nuisance, trash etc.) to be filed with the county/state to become a legal HOA where invoices can be mailed out and dues to be collected.
Violation letter(s) with description of violation(s) with fine(s) and fee(s) with 10 days to correct violation. After 10 days not in compliance, a second letter with violation(s) with fine(s) and fee(s) with 5 days to correct stated violation(s). The third letter will be a notification of a lien put on the property, filed by the attorney which homeowner will be responsible for attorney fees and court fees as well.
3.01 bylaw states 2007 or newer, skirting to be on all mobile homes (lattice not allowed) within 30 days. All tongues and tires are to be removed.
Storage of materials or belongings except in an enclosed structure.
Subdividing of tracts is not allowed.
Sole source of water is a private water well.
3.05 states if tract is 10 acres or more it can have 2 homes.
No sewage disposal except into a septic tank.
No structures can block water flow.
Trash disposal has to be in a bin for trash service.
Unused vehicles
Animals to be contained within your tract.
$100 violation/fine plus the expense charged to the HOA for removal of trash
$50 violation/fine for mowing, nuisance, storage etc
$30 past due initial fine if not paid by due date plus $10 a month fee plus attorney fees ($295 an hour) if applicable.
Concerns need to be sent to the HOA email willowcreekranchesvictoriahoa@gmail.com NOT the attorney. If a homeowner contacts the attorney and the attorney charges the HOA, the homeowner will be billed for that amount.

Road conditions: Check needs to be made out to Hadley Oilfield Services for services rendered on 4/8/24. Jennifer is not at the meeting when this was discussed, so the check can not be made out.
Cattle Guard: Donnie is to be getting a bid for widening the cattle guard about 6 feet on each side.
Legal Stance/Attorney Meeting: As of the date of the meeting, the HOA is not a legal entity. Invoices can not be sent out and dues can not be collected at this time. Per attorney, the board is elected by the community and the board elects the officers. Bylaws can be changed by the board. Declaration can only be changed with 67% of the community vote. The board is not operating by calendar year (per bylaws) so to get that back on track election will be held in October or November for the board to take over January 1st. Paralegal is $125 an hour/Attorney is $295 an hour plus a $2500 retainer.
Taxes due: Per last meeting, taxes have been filed.
Franchise tax is registered with the secretary of state website at 121 Agarita Lane, not the PO Box that is for the HOA. Willow Creek is not recognized on any state or county site as a legal entity. The name on the Franchise Tax should be whose name(s) is on the Management Certificate. Should be updated next year (2025).
Management certificate: To obtain certificate, the HOA has to file a fines and fees with the state (per the new law that took effect in 2024) and county. Management certificate is not legal through Willow Creek only MPH.
Brianna and Jennifer to be point of contacts.
Cattle lease: Was agreed upon and signed by all board members in attendance. Brianna is to be reached to sign it, then Daniel will hand deliver to Jennifer.
Financial Report: Balance of $14,900 with a money order of $200 to be deposited the next day bringing balance to $15,100. As of March 31

MINUTES AND NOTES FROM
FEBRUARY 18, 2024
Welcome: President Bo Carter called the meeting to order at 2:14 pm. In attendance were President-Bo Carter, Treasurer-Jennifer Perez, Secretary-Brianna Evans, Director-Daniel Pearn, and Vice President-Jackie Schmidt. This meeting was open to the WCR community.
Review of minutes: Jackie Schmidt made a motion to approve the minutes taken from the last meeting held on January 28, 2024. Bo Carter second the motion and the minutes were approved and can now be posted to the community webpage.
Financial: The current bank account balance is $19,066.29. Jennifer Perez made a motion to pay Hadley Oilfield Service for road maintenance. Motion second by Jackie Schmidt, motion approved, and a check was written for $4,900.00 to Hadley Oilfield Service.
Date for Election: The board discussed how we will proceed with nominations for the
upcoming HOA board election. Jennifer Perez suggested that the community accepts
nominations through the HOA community email account. Other board members recommended that we consider using Facebook as a nomination platform. The board decided that we will use Facebook as well as the community webpage as a communication platform to notify community members on how and when they can nominate board members for the upcoming HOA board election. Nominations will be accepted via HOA email or USPS mail on 8-1-24. The election will be held October 5, 2024. We discussed nominating election officials to help with the election. We would like to nominate three community members as election officials that will oversee collecting nominations and ballots for the election. Jennifer Perez brought to attention the concern that the election must be held in May, because the election must be held annually. This subject is tabled at this moment until closed session. The board needs to purchase material for election mail outs. Bo Carter made a motion to purchase needed election supplies, Daniel Pearn made a second to the motion. Supplies needed were approved.
Taxes: Bo Carter made a motion to pay our CPA to file our yearly taxes. The invoice has yet to be received. It is usually around $200.00. When invoice is received this will be revisited.
Roads: We discussed short and long-term drainage issues. The areas discussed are those that become submerged under water with heavy rain also the need for better culverts that are properly flowing on the main road. Bo Carter asked the community how they felt about the future prospect of the community purchasing our own road maintainer. We discussed how we would purchase, store, and maintain the equipment as well as the advantages of having our own community road maintainer. This subject remains open.
Open Community issues:
We revisited adding a covering to the mailbox for the school bus pickup as well as to help with the dust on the locks. The mailbox measures 36’x4 and is standing too close to the fence located behind the mailboxes not allowing enough space necessary for the original idea of adding a covered area.
Amending bylaws: The board discussed with community members present the idea of the HOA rewriting the current bylaws for the community. Some community members that were present stated they will not agree to signing new bylaws because they will only stand by the laws they have already signed for. Another concern was that until the community begins to follow the current bylaws in place, what good will it do to create another set of bylaws, and how will the community respond to having to sign the new laws?
Moving forward, if the board decides to propose changes to the bylaws, then the next step will be consulting with our attorney.
Enforcing citations on properties in violation of HOA: Community member brought up concern of property in our community that appear not to have a water well/septic system in place, have various housing structures, broken campers, etc...
Q: What will happen to the property owners that are in violation?
A: The HOA had a recent meeting with our attorney, and one of the subjects discussed was how we can proceed with sending out a cease-and-desist letter to property owners in violation of the HOA rules and regulations. If a property owner is delinquent in their HOA payments and the HOA uses the attorney to obtain payment from a delinquent property owner, the WCR HOA would pay the attorney a flat rate up front and then the attorney would bill the defaulted property owners to pursue enforcement of non-payment.
This subject will be continued at the next meeting.
Rules to run for a consecutive HOA board position: Board members can serve continuously if they are elected to their position, and they are uncontested. No two members of the same household (ex. husband/wife) may serve on the board at the same time.
Raising Dues: Community member suggested increasing the HOA dues in increments, so the board can begin saving money to eventually correct the drainage on the main road. The board can raise dues, but it must be done in an open meeting with proper notice given to the community.
The open meeting was closed at 4:00 PM and the HOA moved to a closed session where we discussed filing the HOA’s taxes, obtaining Management certificate, Franchise tax, and recommendations made by attorney.
The board decided to postpone sending out the HOA invoices for 2023 member dues until all taxes and certificated have been taken care of.

January 28, 2024
WELCOME: President Bo Carter called the meeting to order at 6:06 pm. In attendance were Jackie Schmidt-Vice President, Daniel Pearn-Director, Kelly Hubert-Director, Jennifer Perez-Treasurer, Brianna Evans-Secretary.

This meeting was open to the community.
Approval of Minutes: Bo Carter made a motion to approve the meeting minutes from 1-7-24, Brianna Evans made a second to the motion and the meeting minutes were approved by the board.
Open Issues:
HOA Dues: Kelly Hubert made a motion to re-vote on keeping the HOA member dues at $200.00 per year/tract verses the increased proposal of $500.00 (as voted on 1-7-24). Daniel Pearn made a second to the motion and the board all agreed to keep the yearly dues at $200.00/year. The invoices are ready to be mailed out possibly within the next two weeks. Jennifer Perez made a motion to purchase the supplies needed to mail out invoices. Bo second the motion and the board approved. Jackie Schmidt-Vice President signed a check for the stamps needed from UPS, and envelopes from Amazon. Invoices will be due on March 31, 2024.
Cattle Lease: The 2024 Jansen’s cattle lease was submitted to the board for renewal. The current cattle lease will be corrected to show the amount of $500.00/6 month lease, which is a decrease in half of the previous lease amount. This is because more than fifty percent of the properties/water sources in our community are now fenced off from the cattle.
List of questions for the attorneys meeting which will be held on Feb 5, 2024
Officer’s terms regarding re-election and the three-year term limit. Can an individual serve on the board consecutive years in different roles regardless of if elected and or appointed?
Can an individual run for more than one office?
Clarification on the rules of raising dues, State law verses bylaws.
Collection of Dues from delinquent accounts. How far can we go back on collections? If we as a board pursue enforcement is the attorney going to make us pay for their service of sending letters out? If a delinquent account is turned over to the attorney and the attorney fails to collect how will the attorney be paid?
Responding to request for records, such as when a community member requests to see a payment record.
Requirements regarding the board following Roberts Rule of Order.
Can our attorney provide us with a general cease and desist letter that we can submit to property owners when and if one is in violation of our rules and regulations. (Example-Culverts, concrete foundations, driveway, etc.).
Community Webpage: The board discussed a few concerns regarding what should and should not be posted on Facebook verses the community website. Currently the board does not have access to the community website, therefore we voted and approved via group messaging to post the minutes from our last meeting on Facebook. The board talked with Tony Rodriguez about gaining access and managing the current community website, verses creating a completely new community webpage. The current webpage costs $12.00 annually. Tony and Bo will meet again on this subject.
Delinquent accounts: The board discussed moving forward with the attorney regarding community members with accounts that are past due going back four years. Kelly Hubert-Director noted that he and previous president, Tony Rodriguez, began consulting with the attorney last year regarding collecting on past due accounts. Last August the board audited all recorded payments and handed over a list of the unpaid accounts to the attorney. This will be discussed further in the upcoming attorney meeting.
Entrance Sign and Palm tree: The property at the front entrance has three wooden posts located on it which were supposed to have been used for our front entrance sign. Since the lot has been sold and is now private property, we are considering other locations which we can hang our entrance sign. This topic is open and to be determined. The board has discussed on numerous occasions removing the palm tree located at the entrance of the community. Its dead, and we all agree just needs to be removed. We are open for volunteers for the removal of the tree and will revisit the subject.
New Business:
Shutting down the current HOA and re-writing the bylaws- Bo Carter suggested that the HOA re-writes the bylaws starting everyone from ground zero, instead of going forward with the attorney regarding accounts past due and homeowners with property violations. Kelly Hubert-Director suggested that we let the community speak by voting for the new board and once the new board is in place, they at that point can decide on what to do about changing or keeping the HOA as is. This subject remains open.
Officers Attendance at Meetings- Discussion about Officers present at Meetings. We as a board need a minimum of four officers present at each meeting. Some community members asked what the consequences are if HOA board members do not show up to a meeting. Typically, if someone can’t make a meeting, we will communicate that among each other. If someone on the board wants to step down the board doesn’t have to vote on replacing that person, instead they can elect and appoint someone to fill that spot so that we can continue to conduct business with an odd number. During this discussion Kelly Hubert notified the board that he is resigning from the HOA.
Elections & Nominations-The HOA invoices are going to be mailed out within two weeks. After invoices are sent out, we will accept nominations for the new board. Bo suggested that the nomination process should be made available through Facebook and the website. The community must nominate board members and at that point individuals can chose to accept or decline their nominated position. Once individuals accept their nominations, we create a ballot with their names on it and mail those ballots out to the community.
Road Maintenance-The board discussed the current road conditions and implementing speed bumps on the main road. The current speed limit is 20 mph and as we all know we have issues with people speeding. We have been using Harrison & Son and Hadley Oilfield & Land Service for our recent road maintenance. Harrison & Son maintained the entrance from the cattle guard to the highway. Hadley Oilfield & Land Services maintained the main road and added the drainage ditches. A community member asked why we do not have the road rolled after maintenance is done. This crushes the rock that we do have left which will then turn to more dust and blow away. We talked about the need for proper drainage on diverting the water away from the main road. Some community members brought to attention the need to increase dues to make these certain needed changes. Annual member HOA dues have been set at $200.00 for 2024.
Bo is going to work on getting a bid to have the road bladed and maintained. We encourage all community members to spread the word and help us gather other bid for road maintenance that we can compare with what we currently receive.
Financial Update-The current bank account balance is $19,335.02.
Mailbox-USPS sent an order requiring us to turn the mailboxes on the main road around. The dust from the traffic and road are ruining the locks. We discussed building a covering over the mailbox pickup location in hopes to decrease the amount of dust ruining the mailboxes as well as provide a cover for the children waiting for the school bus. This subject concluded our meeting.

WELCOME: Vice-President, Jackie Schmidt called the HOA board meeting to order at 6:04 P.M. In attendance were Jackie Schmidt, Daniel Pern-Director, Kelly Hubert-Director, Jennifer Perez-Treasurer, Brianna Evans-Secretary, & Rachel Carter standing in for Bo Carter who joined meeting via telephone.
Approval of minutes: Jackie Schmidt made a motion to approve meeting minutes from the last meeting held on 11-21-23. A copy of the meeting minutes was provided/read to board members present and were approved unanimously.
Open Issues:
2024 HOA Dues-The board discussed changes that are going to be made to the 2024 HOA community member invoices. On 11/21/23 majority vote by board members approved increasing the annual dues from $200.00 to $500.00 for a period of four years taking affect in 2024. Community members can either make a one-time payment of $500.00 or set up a payment plan with the board of $125.oo/month for four months. The goal is to eventually collect and save enough money from member dues to chip and seal the main road, as well as fix and replace culverts, drainage ditches, and any other necessary road repairs. The current bid received for just redoing the gravel on the main road is $80,000. The date for mailing out invoices is pending. Bo Carter is going to type up a memo to be posted online that will inform the community members of the new changes in invoicing that are going to take effect this year, a paper copy will also be mailed out to the community for those that do not have Facebook.
Note for record-All board members voted yes for increasing dues except Jennifer Perez.
Delinquent Accounts- As of this point, the board has not levied any fines to delinquent accounts, only late fees. In 2023 only 77% of community members paid their HOA dues. The board discussed going forward with meeting with our lawyer to proceed with placing penalties on community members with delinquent accounts and no board approved payment plan set up that have been unpaid since 2020. Bo, Kelly, and Jackie decided they will personally meet with the HOA’s lawyer regarding moving forward with placing penalties on delinquent accounts. Until this meeting takes place the board decided to hold on pursuing action as well as mailing out 2024 HOA invoices.
Cattle Lease: Jackie Schmidt is going to acquire the current cattle lease, which is to be discussed at the next meeting. The 2023 cattle lease invoice of $2,000.00 remains unpaid. The board voted to invoice the Jansen’s a total of $3,000.00 to include last year’s unpaid lease dues and 2024 lease invoice of $1,000.00 as well.
Posting minutes meeting for community to view: The current HOA members to do not have personal access to the community webpage. Until we decide on a new webpage, we decided that the meeting minutes should be posted on the Facebook community page to make available.
Financial Update: The current account balance is $17,585.02 with two checks to be deposited in the amount of $1,850.00 leaving a grand total balance of $19,335.02.

WELCOME: Bo Carter, President, called the HOA board meeting to order at 6:00 P.M. In attendance were Jackie Schmidt-Vice President, Bo Carter-President, Daniel Pern-Director, and Kelly Hubert-Director.
Old Business:
Cattle Lease - Jackie has a copy and will send to Bo.
Road Maintenance
· The board voted on Harrison & Sons adding concrete and gravel “pieces” to the entrance to last longer for an amount of $4,330.00. Daniel, Jackie, Kelly, and Bo voted yes.
·Maintaining the main road-Two bids were received from Hadley Oilfield Services and Harrison & Sons. Hadley was lower. Daniel, Jackie, Kelly, and Bo voted yes to use Hadley.
Mail Outs-The 2024 dues are to reflect the rate increase of $500.00.
New Members on the Community Facebook Page -Was on meeting agenda but not discussed. Jennifer mentioned it but was not present at meeting.
Raising Dues - The discussion was to raise dues for four years to $500.00 each tract. The money is to maintain current roads along with all other expenses, while saving for more of a permanent fix of the main road along with the fixing of inadequate culverts and drainage of the main road.

Willow Creek HOA Board Meeting
June 8, 2023
WELCOME: Bo Carter, President, called the HOA board meeting to order at 6:12 PM. In attendance were Tony Rodriguez, Jackie Schmidt, Bo Carter, Kelly Hubert, Jennifer Perez, and Brianna Evans.
Discussion Items:
Outstanding Dues: The board discussed individuals in the community with delinquent accounts due to unpaid HOA dues. Kelly made a motion to submit the list of delinquent accounts to our attorney in order to proceed with placing liens on those properties. Bo and Jackie made the decision to personally make one last attempt to contact these individuals before proceeding with the lawyer. This topic is to be revisited next meeting.
Road Maintenance: Bo is working on getting bids for road maintenance. The most recent bid collected is no longer available. He is having difficulty finding someone that can come sooner than 3 months out.
School Bus Drop Off & Pickup: The new school bus drop and pickup location will be at Willow Creek Ranch Rd and Slippery Elm. The board discussed the need of a new light pole for the location, as well as roadside warning signs that will need to be put up before school starts.
Mosquito Spraying: The county denied coming out to our community to spray for mosquitos, even though we pay taxes! They will not come out because it is a private road.
Jennifer made a motion to reimburse Tony for the payment that was made for the HOA mailbox at UPS. Bo second the motion.
Changes to the HOA Board: The board discussed moving forward following the recent election with new HOA president, Bo Carter. We will be setting up a new email account for the board to share and communicate with the community through. Former president, Tony Rodriguez, will continue updating the community website.
Future business to revisit:
Moving forward with placing liens on delinquent accounts.
School bus drop off signs and light pole.
Extra Note: Tony brought the Burn Ban and Private Road signs that will be hung on the main road to the meeting.

WELCOME: Tony Rodriguez, president, called the meeting to order at 2:37 PM and welcomed board members in attendance. In attendance were Tony Rodriguez, Jackie Schmidt, Bo Carter, Kelly Hubert, Jennifer Perez, and Brianna Evans.
Treasurer Report: True account balance is $33,483.

Outstanding Dues: HOA Payments continue to be received. As of now 85/164 HOA payments have been received. The board discussed outstanding HOA dues including payment plans, extensions, and late fees. Community members with outstanding balances that have yet to install a payment plan will be given thirty day’s notice on their unpaid invoice before further action will be taken.
Action Items:
Violation letters-The board discussed certain community members who are in violation of the rules and regulations of the HOA and the specific action to be taken.
Plan for upcoming HOA board elections- It’s that time of year for the community to nominate and elect HOA board members. Ballots will be mailed out to the community with a pre stamped envelope. Nomination forms are also available to community online on the WCR webpage, as well as a link on the WCR Facebook page. Three community members were nominated to be election administrators. These individuals will oversee collecting and counting all ballots. Nominations will be due April 7, 2023. Counting of ballots by elected officials will take place May 14, 2023.
Road Maintenance: The board discussed maintenance needed such as additional culverts needed and culvert repair. Bo Carter is going to request an annual quote for quarterly road maintenance.
Future business to revisit:
· Moving forward with placing liens on delinquent accounts.
· School bus drop off-The board revisited the topic of possibly designating a school bus drop-off and pick-up location on Willow Creek Ranch Rd at the mailbox. The school system says they can provide drop-off and pick-up at the mailbox, under certain circumstances; discussion on this topic is to be continued.

January 22, 2023
WELCOME: Tony Rodriguez, president, called the meeting to order at 2:35 PM and welcomed board members in attendance. In attendance were Jackie Schmidt, Bo Carter, Kelly Hubert, Jennifer Perez, and Brianna Evans.
OLD BUSINESS: WCR main entrance sign update: Jennifer Perez has the Burn Ban sign that is to be hung at front entrance. We will also be placing a sign at the entrance that reads “Private ROAD, NO TRESSPASSING” at the entrance. Project installation is pending.
ROAD MAINTENANCE: The road is holding up great! Bo Carter discussed future propositions on redoing and maintaining roads. Chip sealing vs gravel, pros and cons of each. This is to be discussed again.
FINANCIAL UPDATE: Jennifer Perez, confirmed that the bank account’s current balance is $17,570. Pending payment for $8,234.38 towards outstanding debt to ABN road maintenance, leaving a true balance of $9,335.74.
ACTION ITEM:
ATTORNEY: TONY RODRIGUEZ met with a real estate attorney regarding enforcement of liens to those that refuse to pay their HOA dues. A letter from the attorney will be sent out along with the HOA invoices to all owners. The consultation fee for the attorney was $300.00, for which Bo Carter made a motion to repay Tony Rodriguez the $300.00. Kelly Hubert second the motion, all board members present agreed.
HOA INVOICES: 2023 HOA invoices are being mailed out. President, Tony, will include directions for a payment plan along with invoices and attorney letter. If you have previously defaulted on a payment plan within the last two years, you are ineligible for another payment plan for the next two years. Please email the board with any questions regarding your invoice or setting up a payment plan.
Jennifer Perez made a motion to reimburse Jackie Schmidt for the purchase of a light pole at the front entrance. Bo Carter second the motion. All board members present agreed.
We will be installing streetlights on Willow Creek Ranch Road and Shady Hollow Rd, as well as Slippery Elm.
Directors' and officers' insurance needed to be purchased for the year 2023 board members.

Meeting called to order @ 1705 by Tony Rodriguez.
Treasurer’s report: Jennifer reports no recent activity; current balance is $16,1000.76.
Pending debit for recent 1.4 miles of the main road maintenance. $3,500 plus tax for total of $3,727.50 to be paid upon receipt of invoice.
Invoice has been sent to Mr. Jannsen for cattle lease payment; payment is pending.
Burn Ban Sign: Jennifer gives updates on quotes from Sign Works and Compadres.
Tony motions to purchase the sign at lowest cost from Sign Works at the price quoted, seconded by Kristina. All in favor, none opposed.
WCR Sign: Kristina will seek out an auger and tractor to install sign and possibly solicit help from community members. Tony will contact Mr. Mitchell to obtain sign in order to get dimensions. The purchase of materials for sign installation was previously approved by the board at prior meeting.
Street signs: Will check pricing from same vendor that the Slippery Elm sign was ordered from. Sign is slightly bigger than current signs and is good quality. Visible signage is important for security reasons (i.e. Emergency personnel). Kristina and Jennifer will confirm complete list of needed street signs.
Speed limit: Bo motions to re-enter the discussion of the speed limit previously discussed and voted on at prior meeting, and he requests to consider lowering from 25mph to 20mph. The decreased speed limit is intended to help maintain the integrity of the roads and minimize dust which also creates a safety hazard. Jackie seconded. All in favor, none opposed.
Speed limit signs: Jennifer will get pricing for 6 speed limit signs.
Private property signs: Jennifer will get pricing for sign to be placed at entrance. Wording to be considered “Private Road/Community: Owners and Guests Only.” Posted signage intended to notify those entering that this is private property and to help deter NON-residents from coming into the neighborhood and creating safety hazards/damage, etc. ( i.e. popping fireworks, joyriding ATVs on roads and properties, dumping trash, loitering)
Road Maintenance: Ongoing discussion to find long-term solutions, but lack of funds remain the primary issue. No bids are available at this time. Side roads to be included in next maintenance when necessary.
Community Meeting: October 30th at the residence of Tony Rodriguez. Board will meet at 3pm and community meeting will begin at 4pm. Rain out date - Nov 6th.
October 15th deadline for residents to email items/topics that they would like to be considered on the agenda. Will post on WCR Website and flyers will be mailed out.
Board approves to purchase needed office supplies to mail out meeting notices and invoices for unpaid HOA dues.
Community Sign: Kristina and Jennifer will seek quotes for approx 24”x36” sign that will be placed at the entrance to notify residents of community HOA meetings.
Ditches: Will post reminder that residents are responsible for keeping ditches/culverts maintained and clear of debris. Huisache should not be encroaching roadways. Tony will provide Kristina with the information to post on the FB community page.

Mowing Main Rd: As previously discussed—currently being done by Bo.
WCR Main Sign - Ricky Mitchell has possession; owner of first property declined allowing HOA to post main sign. New proposed location is on left side of entrance (when looking from highway), outside of the fence. Palm tree needs to be removed first— Need to wait for next rain to remove.
Proposed budget for installation: $300
3 posts will cost under $100. Bo will use machinery. Cement bags needed. Sign is already made.
Jennifer motions to accept the $300 for materials to install the main sign, Bo seconds. All in favor; none opposed.
Street Sign Replacements -Jennifer gives details for previously ordered Slippery Elm sign, approx $70 from private company online. Kelly spoke to commissioner about signs and they possibly may supply main WCR street sign and 6 speed limit signs— but he has not heard back. Will follow up.

NEW BUSINESS:
Road Maintenance / Bids / Planning - Bo has received bid from John Carpenter with ABN for WCR Rd 1.4 miles (white dirt…thru Shady Hollow). All agree that side roads are in good condition right now. Main road needs maintenance at this time. No rolling needed. Bo suggests topping with red dirt that is used on Slippery Elm, Madrone, and Saltgrass. Kristina expresses concern with red dirt— the amount of vehicular traffic on main road (150-200 cars/day) may cause issues; members discuss possibly using red dirt on a small area near mailboxes to test how well it holds up with the traffic before applying to entire main road. Can help decrease dust and compacts better than limestone. Water truck is $500/truck but does not last in regard to minimizing dust on main road—dust returns with 1-2 days.
Resident Contact Info: Kristina will get with Lisa regarding address-spreadsheet/email-listing to update HOA information for mailing; multiple pieces of mail have been returned.
Community Mtg / Planning: host at a WCR residence outside in the evening; only agenda items to be discussed at that time; encourage attendees to have remarks prepared. Any new topics/concerns can be submitted via email to add to next meeting’s agenda.

Meeting called to order at 5:20 pm by Tony Rodriguez.
Old Business:
Will follow up with Jennifer for cattle lease payment update and Treasurer’s report.
HOA dues - Still only approximately 1/3 of the community has paid their dues. This outstanding balance could significantly impact necessary road maintenance. Will continue to discuss plans to collect outstanding dues. Late fees still in effect. Property liens are still being assessed on tracts with delinquent fees. Most updated totals and balance will be provided in the Treasurer’s report at the next board meeting.
Mowing on main road (main entrance and south side of WCR road that runs along the side of the mailboxes up to Phase 2, tract 1) – previous mowing/brush clearing was done voluntarily or via donations from residents. With rising fuel prices and cost of machinery maintenance, Bo Carter has offered to do initial mowing and clearing of debris/huisache along the main roadway for $450 and then $200 for each subsequent maintenance of that entire designated area (quarterly or as needed dependent upon rainfall). This was discussed by the previous board.
Entry sign – Ricky Mitchell currently has the sign. Tony will contact owner of tract 1 for permission to use the existing poles that are on his property. Alternate option is to place the sign on the opposite side of the entrance under the street light. Will also consider removing the palm tree at the entrance.
New Business:
Roaming pets - Communication is needed to remind residents that pets are required to be contained to the owner’s property. Increase of dogs roaming the neighborhood are creating safety concerns as well as damage to other residents’ property and livestock.
Roads and signage – Last maintenance was March 2022. Quotes are needed for future road maintenance as the previous contractor will no longer perform the road maintenance out here. Bo will reach out to gather bids. Suggestion was also made to consider purchasing a maintainer for the community to allow for more frequent upkeep of the road and help to reduce some of the maintenance costs. Multiple residents know how to operate this machinery and could save the community on labor costs. Will look at machinery pricing for future discussions.
The recommendation was made to lower the speed limit to 25 mph for safety, to help reduce dust in the air, and to help maintain the integrity of the road and its materials. Signage pricing for a 4-pack of aluminum signs is $45.99 + tax. The board will contact the county for more information regarding the right to petition for the extension of speed restrictions on to private roads. Also discussed the need for several new street signs that have faded which raised some concerns in regard to emergencies. Kelly will contact the county to inquire on the cost of purchasing quality signs thru them.
The board will continue to research our position/obligation in granting right-of-way to individuals that wish to use our roadway to access their property that is not part of Willow Creek Ranches (i.e. the properties behind the mailboxes, etc). Legal counsel will be discussed and considered about this matter, as well as other HOA issues and concerns.
Burn Ban Signage – Not all residents are on the Facebook community page and many people do not notice the burn ban sign on the highway at the county lines, so options were discussed to help ensure that residents are aware when a burn ban is in effect. The board discussed possible locations to erect a flagpole for the burn ban flag that was donated to the community by the fire marshal last year. Also discussed the purchase of a folding aluminum burn ban sign that could be mounted on an existing street sign pole, or on the main entrance sign poles once they are designated. The cost of the folding burn ban sign ranges from $115-$125. With the stronger winds that could quickly wear/tear the flag, the mounted aluminum sign could possibly be a better investment in regard to longevity.
Private Property/Private Community Signage – To be placed on the main entrance sign. Pricing will be researched.
Drainage / Flooding mitigation – Reiterated that it is each property owner’s responsibility to keep their ditches/culverts mowed and free of debris. Culverts that are damaged and are impairing the flow of water, need to be repaired or replaced by the property owner. Bo also mentioned past board discussion of monthly community volunteer events to help clean up litter in ditches/culverts.
Identified areas within the community that need culverts installed (near Leaning Oak and near Shin Oak) to help with drainage issues that deteriorate the main roadway. Also discussed multiple areas where ditches need to be better defined to allow for better water flow and reduce flooding into yards and roadways. Will look at machinery rental options and pricing for future discussion. Tony will contact the state highway department to follow up on the status/plan to install their concrete culvert at the entrance on the highway side as they previously said they would be doing.
Community Meeting – The board discussed having a community wide meeting at an offsite, indoor location to allow residents to meet fellow neighbors and to share ideas with the board regarding the future of WCR. Kristina will look into possible dates and locations.
HOA Board Insurance – Tony will verify that the appropriate coverage is in place.
Property Owner Contact Information – The board will continue to utilize multiple resources to update correct contact information for all property owners.
WCR Website – HOA information, including meeting minutes and other news, will be posted on the website rather than the Facebook page. The link to the website will be posted and pinned on the FB page along with the HOA email. Other avenues of community communication will be researched. It was suggested to also include the WCR website address on the entrance sign.
Next HOA board meeting is set for August 5, 2022, at 5:30 pm. Location TBD.

Annual HOA Meeting Minutes
1. Financial Report
a. Balance $23,856.19 as of 5/12/2022 a check to REXCO for $7,200 has not cleared. It was sent in April of 2022.
b. $52,207.67 was collected in this year for HOA dues. We paid out $35,550.91 and had the roads maintained four times, paid for the PO box, paid the wire transfer fee, purchased checks for the HOA, reimbursed for office supplies twice, reimbursed for a street sign and VEC entrance light. The balance as of May 12, 2022 is $16,656.76.
2. Dust concerns on the roads – Water truck monthly perhaps – would have to check the prices. Main road is the biggest issue. Red dirt could be an option. United Rental could sell a cheap water container to spread water. Binders tank – (Kristina Martinez) maybe a coating over the dust because the dust returns a day after the rain. Asphalt, chip seal very expensive. Dave Tijerina – incentive to post that the goal is to pave the road they may pay if they see what we are working towards. He suggested writing a letter and posting it at every property that the goal is to pave the road to help the dust stay away maybe more people will pay.

5. 2/3 of the community is not paying dues. Liens may need to be implemented to attempt to get the fees paid. Creative ways of get people engaged to pay their dues are needed. Liens, title company communication have helped. More creative ideas will be needed with the new boards and the community should get involved, Square, PayPal or Venmo could be used to get more people engaged and paying their dues.

Roads:
Rexco has not done a satisfactory job on the mailbox area, we will be contacting the VP of Rexco to come evaluate the job that was done. Until then payment will be held. The next “road repair” will include the entire community and its side roads. We also are getting cost together associated with installing a series of culverts where the water crosses over the road when it rains. This location is right past the mailboxes.
Entrance Sign:
We have the sign and will be looking for volunteers Jan. 8th to install the sign, if you would like to be a part of that team please let us know!
Reimbursement of road sign:
A check will be cut and sent to Jennifer R. Perez for getting the sign ordered and installed. THANK you Jennifer!
Light at the front entrance:
We will have the monthly cost of the main entrance light come directly out of the HOA account. It is about 10.00 a month.
Collecting dues:
We financially struggle to keep the roads in decent shape with around 66 properties that have not paid. If everyone would make arrangements to pay the roads could easily be in tip top shape. The property owners that have not paid will start receiving a late fee. Those that have attempted to make arrangements or have contacted Lisa Trevino Rodriguez about your dues can have the late fee waved. It really is not fair to the rest of the community to fund our road when it could easily be maintained with all dues paid.
School Bus:
We are reaching out to the Victoria School District in efforts to move the kids pick up location to the first road inside our community. We tried before and did not get the response we were looking for. This time we are armed with support from the DPS as well as a plee from our community to ensure the safety of our children. Will keep the community updated as this progresses.
Broadband Tower:
The board engaged an I.T. Experienced person and stated that this community would receive no benefit having a tower inside the community. The topics we looked at were Reliability and faster service which we would get neither. This tower would only benefit the internet company to extend the reach of their signal further past Victoria.
Annual HOA community meeting will be May 12th, we will announce who your new board will be and they will be active as a board starting May 15th. A mail out will be sent to everyone 60 days prior to the meeting to give everyone a chance to submit new board members nominees or which board members will be voted to stay. This time it will be strictly an individual vote and not “just leave everyone as is”.

*******ROAD UPDATE********
Rexco will start dropping equipment on Monday to start our roads on Tuesday. Please be careful and stay safe when driving around the working equipment. If you did want to have Rexco do any private work for your property the equipment delivery and pick up has been taken care of, John Carpenters number is 361-920-1732. For those interested in private work done the scheduling and payment are between the land owner and Rexco.
I would encourage everyone to have talks within your families on the speed limits and how we can each do our part to making these roads last as long as possible. I know timing and weather have not been on our side and we appreciate your patience during the wait.
Moving forward funds should and will be allocated each quarter for all 6.2 miles to be touched up and bladed so the community members that do not live off of the main road will not have to deal with the current road conditions again.

If we can make a safe turnaround for the bus right inside the entrance VISD could justify a “pickup and drop off” area for the safety of the children.
The first lot is owned by Clay Morgan, I spoke with him today and he is willing to sell it. He will speak with Stuart and see what they want for it and then of course we would need to do a few fundraisers to purchase the land and make an area for the school bus. Both Clay and Stuart know what this is for so hopefully they will be easy on the price and work with us.
If the roads ever meet county specs the bus would travel the main road and then the kids would just need to go from their house to the main road.

*****HOA / Road Committee*****
The HOA board had a meeting tonight regarding several topics including the latest financial report, members of the temporary board that would like to be considered as part of the permanent board, nominations for the permanent board, insurance for the board, an HOA email address and action items that need to be done before May 14th which is the next community meeting.
I would like to thank each and every member of the board for all the hours spent working for the community and also highlight accomplishments they have made so far. A mail out to the community was made by the board to get the community together. The community met and we voted on a temp HOA board. Filings were made to establish an HOA board so we could start the process of the HOA fund transfer. This included setting up an HOA bank account that had dual signers. There were mail outs made and sent, spreadsheets made to keep track of everything, board members opening their home so folks could drop off HOA dues, several meetings and phone calls with road vendors, city and county officials. This is to name a few of the things that we accomplished in a very short period of time as your HOA board. I am very proud to be part of this group and hope to stay for the next year. Now to the good stuff and what the boards efforts have done for each of you.

Rexco will be doing the roads for our community. The bid as stated above was $13,963.00, this includes all 6.2 miles. We are still waiting on a warranty statement as well as what maintenance blading would cost.

She will then take all current board members as well as newly nominated prospects and have the community vote on a permanent board. Results will be announced at the May 14th meeting.
